Jan Mellmann became a Partner in 1996 and is now the Head of the firm’s Natural Resources Group and London Corporate Group. He specialises in corporate finance and M&A work, with an emphasis on businesses operating in the energy, natural resources and transport sectors, including cross-border and domestic acquisitions and disposals, joint ventures, equity and debt issues for public and private companies, private equity transactions, corporate restructurings and commercial agreements.

Jan is noted in Chambers 2017 as “very reliable and responsive” and a “strong technician”.  He has been described in the Legal 500 UK as combining “excellent technical knowledge and attention to detail with commercial acumen.” He has also been recognised as a leading lawyer by Who’s Who Legal: Energy 2017.

Experience Open

    Jan’s experience includes advising:
    • Tamesis Partners LLP as lead-manager and Mirabaud Securities LLP as co-manager on a placing by Prairie Mining Limited (listed on the Australian, London and Warsaw stock exchanges) to raise £3.2m for the development of its Polish coal projects.
    • BW Offshore on documentation relating to its participation in the Kudu offshore gas field project in Namibia, including its acquisition – via its wholly owned subsidiary BW Kudu – of a 56% stake in the Kudu offshore licence.
    • North River Resources Plc on a US$5.6m investment by its majority shareholder Greenstone Resources LP.
    • Aurelius Group on the successful cross-border acquisition of Colt Group S.A.’s virtualised cloud computing and managed hosting services business, Colt Managed Cloud (“CMC”), after which CMC has been fully integrated into Aurelius’ ICT Services subsidiary Getronics.
    • Tower Resources Plc on three concurrent transformational transactions: its US$32m equity placing and subscription; its acquisition of Rift Petroleum Holdings Limited (with oil & gas assets in South Africa, Zambia and Ethiopia); and proposed farm-in to Block 2B onshore Kenya (alongside Taipan Resources and Premier Oil).
    • Robin Hood Airport Doncaster Sheffield, part of the Peel Group, on a long term transformational deal with Flybe for two 118 seat Embraer 195 jet aircraft to be based at Robin Hood Airport Doncaster Sheffield.
    • On the sale of a 73.81% stake in MRI Trading to Singapore Stock Exchange listed CWT Limited for an aggregate consideration of approximately US$94 million (subject to adjustments).
    • Coal of Africa Ltd. which is listed on ASX, AIM and JSE and has a focus on thermal and metallurgical coal projects in South Africa, on a £59.6m cash placing to fund a proposed acquisition, increase logistics capacity and accelerate capital expenditure at the Vele and Makhado coal projects.
    • North River Resources Plc on the reverse takeover of two Namibian gold exploration companies, readmission to AIM and related placing, as well as the investment by mining private equity fund Greenstone Resources.
    • Braemore Resources Plc, listed on AIM and JSE, on its takeover by Jubilee Platinum plc by way of scheme of arrangement.
    • Oriel Securities Ltd as nominated adviser and broker and Tristone Capital Limited as global bookrunner and broker on the AIM IPO of Valiant Petroleum Plc with a £50m fundraising and £200m market capitalisation.
    • Andrew Weir Shipping Ltd on the sale of its Bank Line (South Pacific) Ellerman and European Short Sea Intermodal container line services.
    • Various port operators on the sale and purchase of ports and terminals.
    • Matrix-Securities Ltd on the establishment of 21 UK limited liability partnerships to invest in ca 650MW of German and Italian windfarm projects, all related equity, acquisition and project finance arrangements, continuing general corporate and commercial advice, and subsequently advising on the refinancing and eventual sale of the LLPs.
    • AIM listed Altona Energy Plc on its evaluation joint venture with CNOOC for the Arckaringa Project (with an estimated 7.8 billion tonne coal resource (non- JORC), planned to develop into a 10m barrel p.a. coal to liquid (CTL) plane and 560 MW co-generation power facility subject to bankable feasibility study).
