Sebastian Baum is a Partner in the Corporate Group of Watson Farley & Williams LLP based in Hamburg. He specialises in mergers and acquisitions, joint ventures, real estate transactions, corporate restructurings and dispute resolution. Sebastian advises German and international companies as well as private equity investors.

Sebastian has recently advised Frasers Hospitality UK Ltd on its market entry into Germany with the acquisition of hotels in Frankfurt am Main, Berlin and Hamburg, as well as an international IT company on their corporate and employment law related restructuring. He also advises on the acquisition and sale of real estate portfolios and companies, for example, the sale of Commerzbank AG’s ship restructuring platform HSAM GmbH, comprising a portfolio of 18 vessels, to a joint venture company of KKR Special Situations Group of Kohlberg Kravis Roberts & Co. L. P. (USA) and Borealis Maritime Ltd. (UK).

Another area of expertise is advising companies on the resolution of complex disputes, either by arbitration, in common courts or in out-of-court settlements.

    • Commerzbank AG on the sale of its ship restructuring platform HSAM GmbH comprising a portfolio of 18 vessels to a joint venture company of KKR Special Situations Group of Kohlberg Kravis Roberts & Co. L. P. (USA) and Borealis Maritime Ltd. (UK).
    • Frasers Hospitality on its market entry into Germany with the acquisition of hotels in Frankfurt am Main, Berlin and Hamburg.
    • UTE Réunion, a subsidiary of ACS, in an arbitration under the ICC Rules.
    • ImmobilienWerte Hamburg on its acquisition of the shopping centre Emaillierwerk in Fulda from OFB Projektentwicklung GmbH.
    • Constantia Packaging GmbH on its sale of AVI Allgemeine Kunststoff-Verpackungen GmbH to a group of private investors.
    • TAG Immobilien AG on its acquisition of two large real estate portfolios held by Luxemburg SPVs from Ostara Holdings S.a.r.l.
    • Stichling Hahn Hilbrich GmbH on the cross-border downstream merger of a Cypriot Limited into a German GmbH.
    • ImmobilienWerte Hamburg regarding the acquisition of 600 student apartments located in Frankfurt, Hamburg, Darmstadt and Mainz (“SMARTments”) through closed end funds.
    • TAG Immobilien AG on its acquisition of a German residential real estate portfolio comprising of approx. 2,300 units via share deal (the portfolios were held by Luxembourg S.à r.l.s).
    • TAG Immobilien AG on its acquisition of the majority of shares in FranconoWest AG and Franconofurt Advisory AG from Franconofurt AG.
