Vincent Trevisani

Summary Open

Vincent Trevisani is a partner in the corporate group based in Paris and is head of the Energy practice in the Paris office. Vincent’s transactional practice focuses on domestic and cross-border acquisitions and disposals, joint ventures, reorganisations and project development, particularly in the sectors of energy and infrastructure. Vincent represents public and private companies as well as investment funds and advises both sponsors and investors.

He has extensive experience gained from more than 25 years spent in the structuring, management, negotiation and documentation of complex investment, acquisition and sale projects in a variety of energy sectors including fossil fuel and renewable power generation assets, electric and gas transmission assets as well as in other sectors including public infrastructure, natural resources, industrials, food and retail.

Vincent has experience in a large number of emerging markets; a fluent Spanish speaker, he has particular knowledge of Latin America, having worked in Colombia for some years. He also worked in New York.

Experience Open

    • Advising the private equity arm of EFG Hermes, the leading investment bank in the Middle East, in relation to the acquisition of a 49% stake in EDPR France for US$208 million (€165 million). EDPR France has a portfolio of 33 operational wind farms with a combined capacity of 334 MW.
    • Advising Crédit Agricole Assurances on its acquisition of 50% of the share capital of GDF Suez Futures Energies Investissement Holding through its subsidiary, Predica. Through this transaction, GDF Suez transferred half of a portfolio of 39 onshore wind farms to Predica, which are already in service and have a total capacity of 440 MW, as well as a portfolio under development of 1 GW capacity.
    • Advising Dalkia France, the French energy services specialist and subsidiary of EDF, on all the legal aspects relating to the sale of its 24% stake in the Régaz-Bordeaux Group which operates the gas distribution network supplying 46 towns (“communes”) in the Greater Bordeaux area.
    • Advising the German asset management company, KGAL, on the expansion of the wind farm portfolio of one of their managed investment funds, through the acquisition of the two Seine Rive Gauche Nord wind farm projects in the Champagne-Ardenne Region, Northern France, from H2air and Nordex. This is the third largest wind farm project (75 MW) in France to date.
    • Advising the German asset management company, KGAL, on the acquisition by one of their managed investment funds from French project developer, Langa Solar, of 80.5% of four French solar farms with a total output capacity of 20 MW.
    • Advising the German developer, wpd offshore GmbH, member of a winning consortium, on the first and second French offshore wind farm tenders (respectively 3,000 MW and 1,000 MW) organised by the French authorities, including advice on the tender terms, the corporate and contractual structure, drafting and negotiation of contractual documentation including share purchase agreements, shareholders’ agreements and development services agreements.
    • Advising Banco Santander (Asset & Capital Structuring) in relation to an equity bridge loan granted to French developer Akuo Energy in connection with a wind farm project for a total installed capacity of 28 MW.
