WFW advises a German financial investor on acquisition of OMB Saleri19 December 2024

Watson Farley & Williams (“WFW”) advised a German financial investor (“German investor”) on its acquisition of OMB Saleri S.p.A. – Società Benefit (“OMB Saleri”), an Italian company specialising in the production of high-tech valves and components for sustainable mobility, including hydrogen (H2) mobility, compressed natural gas (CNG) and liquefied natural gas (LNG) engines. This acquisition marks a significant expansion of the German investor’s investments in innovative and sustainable SMEs in Italy.

OMB Saleri was sold by its majority shareholder Pentere S.r.l. (“Pentere”), DeA Capital Alternative Funds’ “Sustainable Development” private equity fund, and three other managers who held its remaining share capital. Pentere and the managers then acquired a minority stake in one of the German investor’s registered holding companies to further boost OMB Saleri’s expansion and development.

The multidisciplinary WFW Italy team that advised the German investor was led by Partner Carlo Cosmelli, supported by Senior Associate Roberta Sturiale and Associates Fabiola Francesca Longoni, Nicolò Ricci Petitoni, Dario Matrecano and Francesca Angelilli on the contractual, corporate, insurance, IP, IT and due diligence aspects of the transaction.
