WFW advises Belenergia on €190m equity investment12 July 2024

Watson Farley & Williams (“WFW”) advised Belenergia S.p.A. (“Belenergia”) on an €190m equity investment received from For Talent Transmission SAS (“FT”) and RGreen Invest, via its Infragreen V fund, to develop its existing pipeline of renewable projects and further strengthen its position in the Italian and European green energy market. This is one of the largest IPP capital increase in Italy.

WFW acted as Belenergia’s Italian legal counsel on all aspects of the transaction, including the vendor due diligence process, competition and tax analysis and negotiating the investment and new shareholder agreements and all related ancillary documents.

Milan-headquartered Belenergia is a leading European renewable energy company with a 150MW+ solar, wind and biomass portfolio of projects across Europe. FT is a French investment and advisory company focussed on helping family businesses implement generational handover. With €2bn+ AUM, France’s RGreen Invest has over a decade’s experience investing in and financing infrastructure projects supporting the energy transition and climate change mitigation.

The cross-border WFW Energy team that advised Belenergia was led by Corporate Partner and WFW Italy Head Eugenio Tranchino, supported by Counsel Arianna Neri, Senior Associate Giovanni Benedetto and Associates Francesco Vanzaghi and Sonia Basso. Senior Associate Alfredo Guacci Esposito and Associate Marianna Telesca advised on tax law. French law expertise was provided by Paris Corporate Partner Guillaume Pouyet and Associate Mohamed Douib.
