WFW advises Verdalia on acquisition of four biomethane plants1 August 2024

Watson Farley & Williams (“WFW”) advised Verdalia Bioenergy (“Verdalia”), backed by Goldman Sachs Asset Management’s infrastructure unit, on the acquisition of four biomethane plants in the northern Italian regions of Piedmont and Friuli-Venezia Giulia.

The plants, which will be operational between Q4 2025 and Q2 2026, will have a total annual production capacity of approximately 230 GWh of biomethane deriving from the treatment of 262,000 tons of biomass of animal and plant origin. Between they will eliminate approximately 53,000 tons of greenhouse gas (CO2) emissions per year.

Verdalia specialises in developing, acquiring, building and operating of biomethane plants across Europe. ESG specialist technical and financial consultants Healthy Business Advisory will act as their partner on the projects.

The WFW Italy Energy team that advised Verdalia was led by Counsel Matteo Trabacchin, supported by Associates Dario Matrecano and Francesca Angelilli on the drafting and negotiation of the sale and purchase and services agreements. Partner Tiziana Manenti advised on all the matters related to legal due diligence, assisted by Senior Associate Anthony Bellacci and Associates Antimo Rocco Nersita and Marco Iannotti.

The team worked closely throughout the transaction with Verdalia’s inhouse legal team comprising Group General Counsel Pedro Perea, Head of Legal Italy Letizia Giampieri and Legal Manager Spain Javier Franch.
