Watson Farley & Williams (“WFW”) has advised Conscia Group (“Conscia”) and its subsidiary Xevit GmbH (“Xevit”) on the acquisition of all shares in ethcon GmbH (“ethcon”) and lifecon GmbH (“lifecon”), including a total of approximately 50 employees, from the investment company of the ultimate beneficial owner and managing director of ethcon, Florian Beyer.
Conscia is a leading European IT specialist in networking, cyber security, and cloud providing secure infrastructure solutions. Founded in 2003, Conscia has approximately 1000 employees serving some of the largest organisations within financial services, healthcare, public sector, manufacturing, utilities and retail from offices in Denmark, Sweden, Norway, Germany, Netherlands, and Slovenia.
ethcon is an ICT system house operating across Germany with a focus on collaboration, unified communications, and network solutions, while lifecon offers a wide range of ICT consulting services. Both companies are based in Munich.
The WFW Hamburg Corporate M&A team that advised Conscia was led by Partner Dr. Sebastian Baum, working alongside Tax Partner Verena Scheibe and Employment Partner Dr. Nikolaus Krienke. They were assisted by Senior Associate Muteber Yalcin (Corporate/M&A), Managing Associate Dr. Frederik Möller (Employment), Associate Inke Möcklinghoff (Employment) and Transaction Lawyer Stefanie Igl (Real Estate).
WFW worked closely with Gorrissen Federspiel in Copenhagen as the advisors to Xevit’s shareholder Conscia.
Sebastian commented: “We are proud to have been able to support Conscia in this important growth step on the German market. The transaction was very challenging due to the different jurisdictions involved and the integration of the target companies into the group. We would like to thank our Danish colleagues at Gorrissen Federspiel for their excellent cooperation. This matter highlights the expertise and increasing reputation of WFW Germany’s corporate and M&A practice”.
