Watson Farley & Williams (“WFW”) has advised Vortex Beteiligungs GmbH (“Vortex”) on the acquisition of Achab Italia S.p.A. (“Achab”), a company specialising in the distribution of software to the world’s leading manufacturers and in providing IT solutions for Italian SMEs to create flexible, effective and efficient ICT infrastructures.
Vortex is part of HQ Equita Group, a German investment fund that since being founded in 1992 has invested €1bn in 30+ businesses.
WFW advised Vortex on all due diligence related matters, including real estate, employment, competition and tax matters, and on the acquisition itself and subsequent corporate organisation which involved both corporate and employment expertise.
The multidisciplinary, cross-border WFW team that advised Vortex was led and coordinated by Milan Corporate Partner Carlo Cosmelli on the Italian law aspects of the transaction and by Munich Corporate Partner Simon Preisenberger from a German law perspective.
